COPYRIGHT AND OWNERSHIP OF MATERIALS
(a) The copyright in all Photographs and Works shall remain the sole property of the Photographer, Senem Peace, and is managed by Senem Peace Photography. This copyright is retained globally. In cases where reproduction of the Works occurs and payment has not been received, the Photographer reserves the right to charge the publisher or user in accordance with the Copyright, Designs and Patents Act 1988. (“Photographs” and “Works” include all photographic materials provided by the Photographer, including but not limited to transparencies, negatives, prints, digital files, and any other form of material, whether physical or electronic, currently in existence or developed in the future.)
(b) The title to all Photographs and Works remains the exclusive property of the Photographer at all times.
IMAGE USAGE RIGHTS
(c) The Client(s) grant the Photographer the right to use and display any photograph covered by this agreement for the purpose of promoting the business in advertising, brochures, websites, magazine articles, sample albums, or other promotional materials.
(d) A written agreement with the Photographer must be obtained before the Photographs may be used for any purpose other than those explicitly covered by this contract. If the usage exceeds the granted rights, the Photographer reserves the right to charge additional fees.
(d1) The Photographer retains the right to use or sell the Photographs at their discretion.
(d2) Exclusivity of usage rights will not be unreasonably withheld but must be agreed upon in writing by both parties prior to the commencement of work.
(e) Any rights to reproduce the Photographs are granted solely under a licence agreement, and no transfer of copyright or partial assignment of ownership is implied.
(f) The Client is prohibited from making any alterations to the photographs provided by the Photographer unless a written agreement has been signed by the Photographer. All editing and alterations must be carried out exclusively by the Photographer.
CLIENT CONFIDENTIALITY
(g) The Photographer agrees to maintain the confidentiality of any information provided by the Client that is communicated in confidence, except where disclosure is reasonably necessary to carry out obligations under this contract.
(h) The Client is solely responsible for ensuring all necessary rights, model releases, clearances, or consents are obtained for any people, places, or items depicted in the Photographs.
(h1) The Photographer gives no guarantee or warranty regarding the acquisition of any necessary rights, releases, or consents, whether related to names, people, trademarks, or copyrighted works depicted in any Photograph.
(h2) The Photographer will only be responsible for obtaining such clearances if expressly agreed upon in writing prior to the photoshoot.
PAYMENT TERMS
(i) A deposit of 50% of the session fee is required prior to the photoshoot to secure the booking. The booking will not be confirmed without receipt of the deposit.
(i1) The deposit is non-refundable for cancellations made 3 days or less prior to the scheduled photoshoot date. Cancellations made 3 to 14 days before the photoshoot will result in a 30% refund of the deposit.
(i2) The Client may reschedule the photoshoot without incurring any cancellation fee.
(i3) Cancellations made more than 15 days prior to the photoshoot will result in a full refund of the deposit.
(i4) If Senem Peace Photography cancels the photoshoot for any reason, the full deposit will be refunded to the Client.
(j) The remaining balance is due within 7 working days following the photoshoot. Senem Peace Photography reserves the right to take legal action for any overdue payments, and interest may be charged on late payments in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
